Terms of Service
1. Agreement to Terms
By accessing or using Laidback’s services at app.laidback.cloud („Services”), you agree to be bound by these Terms of Service („Terms”). If you do not agree to these Terms, you may not access or use our Services. These Terms constitute a legally binding agreement between you and Laidback Inc. („Laidback,” „we,” „us,” or „our”), a company incorporated in Delaware, USA.
2. Eligibility
You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
3. Account Responsibilities
When you create an account with us, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access or security breach
4. Service Description
Laidback is an AI-powered recruitment platform that helps companies discover and connect with potential candidates. Our Services include:
- AI-assisted candidate sourcing based on job requirements
- Candidate profile analysis and match scoring
- Automated outreach campaign management
- Candidate shortlist creation and management
Candidate data is sourced from third-party data providers. We do not scrape websites directly. We rely on our data providers to maintain compliance with applicable laws and the terms of their data sources.
We reserve the right to modify, suspend, or discontinue any aspect of our Services. For material changes that affect paying customers, we will provide reasonable notice when practical.
5. Credits and Payment
Our Services operate on a credit-based system:
- Certain features require credits to use
- Credits are non-refundable and non-transferable
- Unused credits do not expire unless your account is terminated
- We reserve the right to change credit pricing at any time
All payments are final. We do not provide refunds except where required by law.
6. Acceptable Use
You agree not to use our Services to:
- Violate any applicable laws or regulations
- Engage in discriminatory hiring practices based on race, gender, age, religion, disability, sexual orientation, or any other protected characteristic
- Post fake, misleading, or fraudulent job listings
- Harass, abuse, or harm candidates or other users
- Send spam or unsolicited communications outside our platform
- Attempt to reverse engineer, decompile, or disassemble our Services
- Scrape or extract data from our platform for unauthorized purposes
- Interfere with or disrupt the integrity of our Services
- Impersonate any person or entity
You are responsible for ensuring your use of our Services complies with all applicable employment and labor laws in your jurisdiction.
7. Intellectual Property
Our Services, including all content, features, and functionality, are owned by Laidback and are protected by intellectual property laws. You retain ownership of any content you submit to our platform (such as job descriptions).
By submitting content to our Services, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and display that content solely for the purpose of providing our Services to you.
8. AI-Generated Content
Our Services use artificial intelligence to generate candidate analyses, match scores, summaries, and outreach communications. You acknowledge that:
- AI-generated content may contain errors or inaccuracies
- We do not guarantee the accuracy, completeness, or reliability of AI-generated content
- You are responsible for verifying candidate information before making hiring decisions
- AI recommendations should supplement, not replace, your own judgment
9. Third-Party Services
Our Services integrate with third-party services for authentication, analytics, and other functionality. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.
10. Limitation of Liability
To the maximum extent permitted by law, Laidback shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our Services.
Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Laidback and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of our Services, your violation of these Terms, or your violation of any rights of a third party.
12. Termination
We may suspend your account immediately if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users, us, or third parties. For termination without cause, we will provide you with 30 days’ notice.
Upon termination:
- Your right to access and use the Services will cease
- If we terminate your account without cause, unused purchased credits will be refunded on a pro-rata basis
- If you terminate your account or we terminate for cause, unused credits will be forfeited
- We may delete your account data in accordance with our Privacy Policy
You may terminate your account at any time by contacting us at support@laidback.so.
13. Dispute Resolution
Any dispute arising from these Terms or your use of our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, USA, and the arbitrator’s decision shall be final and binding.
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court’s jurisdiction.
You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Laidback.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page, updating the „Last updated” date, and sending an email to the address associated with your account. Your continued use of our Services after such changes constitutes your acceptance of the updated Terms.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Laidback regarding your use of the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.
18. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Laidback.
19. Assignment
You may not assign or transfer these Terms, or any rights or obligations under these Terms, without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets. Any attempted assignment in violation of this section shall be void.
