Terms of Service.

By accessing or using Laidback's websites, workspace app and services (including laidback.so and any connected Slack integration) ("Services"), you agree to these Terms of Service ("Terms"). If you don't agree, don't use the Services.

These Terms are a binding agreement between you and Laidback Inc. ("Laidback", "we", "us"). If you're accepting on behalf of a company, you confirm you have the authority to bind that company.

You need to be at least 18 and legally able to enter into a contract. Laidback is built for in-house hiring teams. Using it as an outbound recruiting agency to source candidates for third-party clients requires our written consent.

When you set up a workspace with Laidback, you agree to:

• Provide accurate information about your company and hiring team
• Keep your Slack, ATS and other integration credentials secure
• Take responsibility for everything your teammates do inside your workspace
• Tell us at thomas@laidback.so if you spot unauthorized access

Laidback is an AI coworker that helps in-house hiring teams run the repeat work around hiring. Depending on what you enable, this may include:

• Turning a brief into a shortlist of candidates from public professional sources
• Drafting outbound messages, follow-ups and hiring-manager updates
• Running recurring hiring habits (pipeline hygiene, chasing feedback, agency reviews)
• Writing summaries back into your ATS, CRM and shared channels

Candidate data comes from professional data providers and publicly available sources. We can change, add to or retire features. When a change materially affects paying customers we'll give reasonable notice.

Laidback drafts. Humans send. By default, no outbound message leaves your workspace and no record in a connected system is written without a human on your team approving it. You can change these approval gates per habit. You're responsible for the messages your team approves.

Some features run on credits or a plan. Unless we agree otherwise in writing:

• Credits and plan fees are non-refundable and non-transferable
• Unused credits stay valid while your workspace is active
• We can change pricing with reasonable notice for existing paying workspaces
• Free trials, pilots and demo access can be capped or ended at our discretion

All payments are final except where the law requires otherwise.

Don't use Laidback to:

• Break the law or run hiring practices that discriminate on protected characteristics
• Post fake or misleading roles, or misrepresent your company
• Harass, harm or spam candidates, teammates or other users
• Send bulk outbound outside the approval flow, or route around message caps
• Reverse engineer, scrape or resell the Services
• Impersonate anyone, including hiring managers or candidates
• Feed Laidback confidential information you don't have rights to share

You're responsible for making sure your use of Laidback follows the employment, labor, privacy and messaging laws in the places you and your candidates are based.

You choose which tools to connect (Slack, ATS, calendar, ATS/CRM, LinkedIn and others). Your use of each connected tool is governed by that tool's own terms. We're not responsible for what those tools do, their uptime, or changes they make to their APIs.

You own the content you put into Laidback (briefs, notes, calibrations, uploaded files, ATS records). You grant us a limited licence to process that content so we can run the Services for you and improve them for your workspace.

Your workspace data is not used to train shared models across other customers. See our Privacy Policy for the full picture.

Laidback uses AI to draft messages, summaries, shortlists and scores. AI output can be wrong. You should:

• Review candidate information before you make hiring decisions
• Read every drafted message before you approve it
• Treat scores, matches and summaries as input to your judgment, not a replacement

The Services, the interface, the underlying models, workflows and documentation are owned by Laidback and protected by IP law. You keep ownership of your inputs and, subject to these Terms and applicable law, of the outputs we generate for you.

Each side agrees to protect the other's non-public information (including candidate lists, briefs, pricing and product roadmap) with the same care it uses for its own, and at least reasonable care.

We provide the Services with reasonable care and skill. Except for what's explicitly stated here, the Services are provided "as is" and "as available". We don't guarantee that a specific candidate will respond, be hired, or be a good fit.

To the maximum extent allowed by law, Laidback isn't liable for indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, lost data or missed hires.

Our total liability for any claim connected to these Terms or the Services is capped at the fees you paid us in the twelve months before the claim.

You'll defend and indemnify Laidback against third-party claims arising from your use of the Services, your breach of these Terms, the messages your team approves, or content you upload that infringes third-party rights.

We can suspend a workspace immediately if it puts candidates, teammates or the Services at serious risk, or violates these Terms. For termination without cause we'll give 30 days' notice.

When your workspace ends:

• Access to the Services stops
• If we end the workspace without cause, unused prepaid fees are refunded pro-rata
• If you end it, or we end it for cause, unused credits and prepaid fees are forfeited
• We delete workspace data according to our Privacy Policy retention schedule

You can end your workspace at any time by writing to thomas@laidback.so.

Any dispute connected to these Terms or the Services is resolved by binding arbitration under the rules of the American Arbitration Association, seated in Delaware, USA. Either side can still bring a qualifying claim in small claims court. You waive the right to bring or take part in a class action or class-wide arbitration against Laidback.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law rules.

We may update these Terms. If a change is material we'll update the "Last updated" date and email the admin of your workspace. Continuing to use Laidback after the change means you accept the new Terms.

If a court finds part of these Terms unenforceable, the rest keeps working. Not enforcing a right once isn't a waiver of it. You can't assign these Terms without our written consent. We can assign them in connection with a merger, acquisition or sale of assets. These Terms, together with our Privacy Policy and any order form we sign, are the entire agreement between us about the Services.
